CONTRIBUTOR ASSIGNMENT AGREEMENT – EPPLUS SOFTWARE AB

This Contributor Assignment Agreement (“CAA”) applies to any source code, documentation, patch, graphic, manual or similar material (“Contributions”) that You submit to EPPlus Software AB (CID 559205-1980; “EPPlus Software AB”).

If You choose not to enter into this CAA or to provide any of Your Contributions with additional terms or restrictions, EPPlus Software will be unable to accept Your Contributions.

1 COPYRIGHTS

With respect to any copyrights in your Contributions:

- You assign ownership to EPPlus Software, and to the extent that such assignment is or becomes invalid, ineffective or unenforceable, You grant to EPPlus Software a perpetual, irrevocable, non-exclusive, worldwide, no-charge, royalty-free, unrestricted license to exer-cise all rights, including sublicensing, under those copyrights; and

- You agree that You will not assert any moral rights in Your contribution against EPPlus Software, our licensees or transferees.

2 PATENTS

With respect to any patents that You own or can license, You grant to EPPlus Software a per-petual, irrevocable, non-exclusive, worldwide, no-charge, royalty-free license to make, have made, use, sell, offer to sell, import and otherwise transfer, including sublicensing, Your Contribution.

3 RE-LICENSING

EPPlus Software will inter alia re-license any of Your Contributions to the public under the PolyForm Noncommercial License 1.0.0.

4 REPRESENTATIONS

You covenant, represent, warrant and agree that:

- Your Contributions are original works of authorship and that You can legally assign the rights set out in this CAA; and

- to the best of Your knowledge, Your Contributions will not violate any third party's copy-rights, trademarks, patents, or other intellectual property rights.

5 MISCELLANEOUS

5.1 Choice of Law and Venue

This CAA shall be governed by and construed in accordance with the laws of Sweden, exclud-ing its conflicts of law rules.

Any dispute between EPPlus Software and You shall exclusively be submitted to Stockholm District Court, Sweden.

5.2 Licensing Entity

Please mark one, and only one, of the choices below.

☐ I am signing on behalf of my employer or a legal entity and I have the actual authority to contractually bind that entity.
